Q. The court can declare the proceedings of a general meeting or part thereof as invalid in some circumstances. Describe the voting power needed by a member to move a petition in this regard, the nature of grounds and the time available for the purpose thereof.                      

Ans: Voting power needed by member, the nature of grounds, the time available to move petition in case of declaration of invalid proceeding of general meetings:
1. Members having not less than 10% of the voting power can file the petition.
2. The grounds are: 
(i) material defect or omission in the notice or 
(ii) the irregularity in the proceeding of the meetings which preventing members from using effectively their rights.
3. The petition is to be made within thirty days of the impugned meeting.
